We help investment property owners to preserve their wealth and avoid capital gains taxes with our proprietary Exchange Opportunity Kit that tells them what they really need to know about Exchanges.

1031 Services are now a mature business category. Section 1031 Rules are defined in the Tax Code and are the same for everyone. The 1031 forms all Qualified Intermediaries use are virtually identical. And most Intermediaries have proper Money Safety protection protocols and E&O Insurance. All of these service features are simply basic “core competency” requirements in the 1031 world of today. Everyone has them. And these make typical 1031 Exchange Services a generic commodity. Here is an important fact of business life.

Why should you choose us to recommend instead of one of our competitors? Our unique benefits are what make us different and better – and worthy of being retained by your Clients.

  1. For purposes of our Guarantee, the Guaranteed Result is straightforward.  The Guaranteed Exchange receives the intended federal tax-deferral treatment under Section 1031.
If it doesn’t, despite the Client having satisfied the requirements of our written Guarantee, we put our own money at risk by reimbursing covered federal tax liability, interest and penalties, subject to the Guarantee’s stated terms. We don’t merely tell Clients that their Exchange should work. We stand financially behind the defined result. THIS IS A DIFFERENCE   THAT MATTERS!

To our knowledge, Wealth Preservation 1031 is the only Qualified Intermediary in the industry that offers this kind of Exchange Result Guarantee addressing possible tax liability. Although E&O Insurance is important, it specifically does not cover this possibility. In fact, it specifically excludes it. To learn details about the Guarantee, click here
  2. You have already seen the headline about our REFERRAL FEE. You hold in your hand an important, latent, economic asset.  It is the ability to make a referral for a Starker Exchange Intermediary Service when one becomes necessary for a Client.  But most Intermediary Services expect you to choose them because they believe you have few, if any, meaningful alternatives. Full Stop. That is about to change thanks to Wealth Preservation 1031.
  3. We offer you a $500 Referral Fee for each referred Exchange. This recognizes and rewards your valuable contribution to the Exchange transaction and achieving tax-deferral for your Clients.  And you have earned and deserve this. As a Bonus and added incentive for you, that Referral Fee will be $1,000 for the first Exchange you refer to us.  No one else does this.
  4. Our Founder, John Galley, has been acting as a 1031 Exchange Intermediary for over 40 years – doing thousands of Exchanges!  He is a trusted Exchange Strategist and is called “The Exchange Coach” by many.
  5. Having practiced real estate law for decades, we have real world experience being intimately knowledgeable about the underlying transactions that are part of an Exchange. This knowledge can be extremely useful and helpful – and make an important difference just when it’s really needed. We are not a group of cloistered bureaucrats who simply quote 1031 rules.
  6. AND we have Bonus Benefits – highlighted by our proprietary Exchange Opportunity Kit of important 1031 information. (We will discuss those details in a moment.)

Or if you prefer, “The Proof of the Pudding is in the Eating”.

Our “Offer” of a significant Referral Fee ($500) that recognizes and rewards your meaningful contribution to a 1031 Exchange – is not some “Johnny-Come-Lately” concept that is gimmicky or unproven. In the decade between 1997 and 2007 – and before the economic debacle of 2008-09 and COVID crippled 1031 Exchanges for more than a decade – our Exchange Company of that era (Investor’s Exchange) paid out $762,500 in Referral Fees to real estate professionals, just like you, in Illinois alone.  That is more than ¾ Million Dollars – and was the by-product of 1,525 Exchanges.  Those are numbers you can’t ignore or dismiss.  Hundreds of real estate professionals indisputably embraced our Referral Fee concept and benefitted accordingly.  And a referral fee for Exchanges is specifically approved by the IRS in PLR200724007.

For decades, John Galley was a licensed Real Estate Attorney in Illinois and Wisconsin. He is a cum laude graduate of Dartmouth and received his law degree from IIT/Chicago-Kent College of Law.

A Starker Exchange legal writing assignment in law school marked the beginning of his interest in 1031 Exchanges. This eventually led to his retirement from a more traditional practice of law and the formation of his Qualified Intermediary company.

  • Has acted as a Qualified Intermediary for decades doing thousands of 1031 Exchanges.
  • Schooled by the two lawyers who wrote the 1991 Exchange regulations for the IRS and Treasury Department.
  • Charter Member of the Midwest Chapter of the national Federation of Exchange Accommodators (FEA).
  • Faculty for State Bar CLE presentations.
  • Exchange Presentations on behalf of eight State Bar Associations.
  • Featured Exchange Presentations at several American Land Title Association (ALTA) annual conventions.
  • Consultant and Expert Witness for 1031 Exchange lawsuits.
  • Published Exchange Articles in Title News (the official publication of ALTA), the Illinois Real Estate Journal, the Maine Lawyers Review, the Maine Business Monthly, and a published interview in Lawyers Weekly USA.

“I first met John through a mutual attorney friend. As I learned of his exchange capabilities, I was more than impressed. Being one of the Charter Members of the Legal Division at the American Land Title Association (ALTA), I knew John could be a great resource for all the Association Members. The relationship has blossomed by way of several ALTA Convention presentations. I am proud to have been the catalyst for this relationship.”

“Following his presentations in both
Madison and Milwaukee, many practitioners came forward to tell me that John gave the best presentation they had ever heard on the topic. As one written evaluation stated:
“Mr. Galley capably translated a complex area of the law so it was timely, relevant, understandable and useful for those of us who do transactions. The written materials
will be a very valuable resource back at the office. He should be invited back every year!” I couldn’t agree more.

The Client will have a separate, sub-account within the Wealth Preservation 1031 Master Exchange account at our Exchange-experienced Trustee Bank. One Client’s funds are never co-mingled with any others

To maximize Money Safety, we use a “dual signature” procedure for the transfer of any Client monies out of their sub-account. One signature is on behalf of Wealth Preservation 1031 (thus eliminating total control of the money by the Client at this time – which according to the IRS Exchange Rules would cause the Exchange to fail). And the other signature is the Client’s or someone designated by them to sign on their behalf. The identity and confirmed signature of this signing person is provided to our Trustee Bank and is unknown to Wealth Preservation 1031. We will provide the Client with the form and instructions on how to do this. No monies can be transferred anywhere without this procedure having been initiated and completed. So bottom-line; THE CLIENT must know of and approve of ANY transfers of their sale proceeds money.

We pioneered this Dual Signature approach decades ago – and now it is required by most states who license Qualified Intermediaries.

To further address safety concerns, we carry E&O Insurance with biBERK – a Warren Buffet and Berkshire Hathaway company.

We have Bonus Benefits that will show you why:

While you wait for your listed property to sell and to earn that initial $1,000 Referral Fee you will have deserved, there is a package of unique benefits you can receive from us now. Some are intended for your use – and some are to be shared with your Clients.

  1. Our 1031 Exchange Manual – written in plain English, not “Legalspeak”. It has been widely-praised by real estate practitioners.
  2. Advice on “How To Do More Exchanges”.  We want to help you help yourself to do more Exchanges and get more listings.
  3. A CYA Letter template to use when a Client rejects the 1031
technique – even when they shouldn’t.  You don’t want to end up as the Defendant in a law suit when someone claims you breached the Fiduciary Duty you have to tell them about a technique that would have saved them multiple thousands in unnecessary taxes. (People who pay unnecessary taxes are not “happy campers”.)
  4. Important: We will send you a special Bonus Certificate for your initial, one-time Referral Fee of $1,000.  You must redeem this in order to qualify for the Bonus when you have referred a Client.
  1. . Our proprietary “Exchange Diagram” that shows “how” an Exchange takes place – step-by-step. (You can see what this looks like – and how effective it is – by clicking on this link.)
  2. A Capital Gains Worksheet that shows how to determine the likely Capital Gains, and subsequent Tax that will be owed, if the Exchange technique is not employed. This can be rather unnerving when “the sorry story” is revealed.  But it can serve to motivate a Seller to use the 1031 technique.
  3. . A Client “Ten Minute Exchange Primer” to get them “up to speed” on 1031 information that will empower them to become better Real Estate Investors.
  4. A link for the special 5-minute animated video that appears here on the website. You can send this to a Client to further help them understand how the Exchange technique works and how it will help them save unnecessary capital gains tax.
  5. If it doesn’t appear likely you can assist your Client with a Replacement Property purchase, they might reject the Exchange technique because they refuse to ever be a landlord again.  And this may be what is keeping them from otherwise using the 1031 Exchange technique.  If this is the case, then important discussions about passive, qualifying investments like a DST, TIC, and NNN should take place.  And we have a handout about that we will send you to share with them if needed.

The Guaranteed Exchange Result is serious business.  We have “patent pending” status for it.  And we are serious about making it available with a Bonafide Offer.  It is information you should absolutely share with your Clients.  It will help you fulfill your Fiduciary Duty to them – and give them the comfort to know it is safe to use the Exchange technique regardless if this is their 1st Exchange or their 10th. You can read about the Guarantee details here and also pass on the access links to your Clients – with a proper introduction, of course.

  1. THE PATENT-PENDING 1031 EXCHANGE RESULT GUARANTEE. We don’t merely tell a client their Exchange should work. We stand financially behind the defined result. We believe this to be unique in the Qualified Intermediary industry. It goes beyond E&O Insurance.
  2. Our $500 Referral Fee for any referred Exchange – AND our “First Referral Bonus Fee” of $1,000.  This is something you have earned and deserve for the important role you play.
  3. You will have “The Exchange Coach” in your corner throughout the Exchange. John Galley has superb Exchange credentials and has been “in the trenches” as a Lawyer doing thousands of Exchanges for decades.  He is not some “cloistered bureaucrat” just quoting Exchange rules.
  4. Our Exchange Opportunity Kit of important, helpful 1031 Exchange education information including the animated Video. We want your Clients to be “1031 literate” and achieve the best possible 1031 Exchange result. We always do our best to help make you look good in counseling your Clients and further earning their trust.
